Terms of Service

The agreement that powers our partnership

These terms describe how Opsia Inc. provides Opsia Cloud services and how we work with customers to keep platforms secure, available, and compliant.

By using Opsia Cloud, you agree to the responsibilities and commitments outlined below. We strive to write them clearly so you can focus on building for your customers.

Effective October 1, 2024

Service agreements and shared responsibilities.

Quick summary

  • We deliver the services outlined in your statement of work or subscription order and you agree to use them responsibly.
  • You retain ownership of your data and grant Opsia the limited rights required to operate the platform.
  • Billing cycles, renewals, and termination windows are clearly spelled out in your order form.

1. Accounts & access

You must provide accurate account information and keep credentials confidential. You are responsible for all activity that occurs under your account, including that of authorized users and tenants.

We may suspend access if we detect suspicious activity or violations of these terms.

2. Subscriptions & renewals

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date through your account or an available support channel. Cancellation stops future renewals, and service remains active until the end of the current paid billing period. Invoices are due net 30 unless otherwise agreed in your order.

Usage-based or overage fees are invoiced monthly in arrears. Late payments may incur a 1.5% monthly finance charge or the maximum permitted by law.

3. Acceptable use

You agree not to use Opsia Cloud for unlawful, harmful, or abusive purposes, including attempting to breach security, disrupt availability, or mine cryptocurrency without authorization.

You are responsible for content uploaded to the platform and must ensure it respects intellectual property rights and applicable regulations.

4. Data ownership & processing

You retain all rights to the data you store in Opsia Cloud. We process data solely to provide the services, meet legal obligations, or as instructed in writing.

We implement administrative, technical, and physical safeguards consistent with industry standards. Data residency requirements are honoured as outlined in the order form.

5. Service management

Opsia monitors service health and operational signals. Planned maintenance that may impact availability is communicated at least 48 hours in advance.

If an incident affects your environment, we will provide timely updates, collaborate on remediation, and document the root cause.

6. Intellectual property

Opsia retains ownership of the platform, documentation, tooling, and any deliverables not expressly transferred in writing. Feedback you share may be used to improve our services without obligation.

You may not reverse engineer, redistribute, or resell Opsia Cloud without our consent.

7. Warranties & disclaimers

We warrant that we will provide services with reasonable skill and care and in accordance with documentation.

Except as expressly stated, the services are provided “as is” without additional warranties. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Liability

Neither party is liable for indirect, incidental, or consequential damages, lost profits, or punitive damages, even if advised of the possibility.

Each party’s aggregate liability under these terms is limited to the fees paid or payable in the twelve months preceding the claim, except for amounts owed, breaches of confidentiality, or indemnification obligations.

9. Suspension & termination

Either party may terminate the agreement for cause if the other party materially breaches these terms and fails to cure within 30 days of written notice.

Upon termination, you may export your data for 30 days. After that period, we will securely delete or anonymize remaining customer data unless prohibited by law.

10. Changes to these terms

We may update these terms to reflect product changes or legal requirements. Material changes take effect 30 days after notice. Continued use after the effective date constitutes acceptance.

11. Governing law

These terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. The parties consent to the exclusive jurisdiction of the courts located in Montréal, Québec.
